Mr Ng Min Lin was appointed as a Non-Independent Non-Executive Director of the Company on 28 January 2011. He has been re-designated as an Executive Director on 1 April 2011. On 24 April 2014, he was re-designated as a Non-Independent Non-Executive Director. On 6 September 2016, he was re-designated as Senior Independent Director and appointed as Chairman of the Board of Directors (“Board”). On 28 December 2018, he ceased to be the Senior Independent Director. He is currently the Chairman of the Nomination and Remuneration Committees and a member of the Audit and Risk Management Committee.
Mr Ng spent his early years as an audit associate with KPMG, Penang. Subsequently, he ventured into the corporate world when he became the Corporate Development Manager of a company that manufactures and franchises water vending machines. A year later, he was promoted to Group Finance Director, when the company concerned got listed on the PLUS Market (now known as Icap Securities and Derivatives Exchange) in the United Kingdom. As he looked for greener pastures, Mr Ng established Esabee Biotika Sdn Bhd, a multi-level marketing company which specialises in microalgae. He was the Chief Executive Officer of this company until his resignation in the mid-2011.
Mr Ng had also invested into companies involved in sectors such as mining, agriculture, and energy. His involvement in these sectors had gained him vast experience in the corporate world. He is an alumnus from The University of New South Wales, Sydney, Australia, having graduated there in 2002 with a Bachelor of Commerce, majoring in Finance and Accounting.
Madam Li HuiJun was appointed as an Executive Deputy Chairperson of the Company on 24 April 2014.
Upon graduation in 1997, Madam Li started her career in the edible oil industry by joining her spouse, Mr Ma GuoLiang in Neihuang XingHe Plant Oil Factory (内黄县星河植物油厂) as its Deputy Marketing Manager, primarily responsible for raw peanut market research and analysis. In 1999, she was re-designated as the Purchasing Manager to oversee its peanut procurement activities.
In 2002, Madam Li left with Mr Ma to join Henan XingHe Oil and Fat Co., Ltd. (河南省星河油 脂有限公司) (“Henan XingHe”) as Deputy General Manager to assist in the setting up and spearheading the business development of the company. She was primarily responsible for overseeing the daily operational and administrative matters of the company as well as overseeing the peanut procurement activities and peanut supply market conditions when Henan XingHe began production of peanut oil in 2004.
In December 2011, Madam Li became the Chairperson of Henan XingHe. As Chairperson, she is involved in major decisions making as well as the formulation of business policies of the company together with Mr Ma, the Managing Director of Henan XingHe.
Mr Ma GuoLiang was appointed as Managing Director of the Company on 24 April 2014. He is currently also a member of the Remuneration Committee.
Mr Ma completed his Master’s degree in Business Administration from Peking University (北 京大学) in 2004 and obtained his Master of Business Administration from The City University of Macau in 2012.
In 1994, Mr Ma started his career after graduating from high school as a marketing personnel in Neihuang XingHe Plant Oil Factory (内黄县星河植物油厂). In 1995, he switched from being a marketing personnel to a production supervisor and was promoted to Deputy Factory Director in 1997. In 2001, he was promoted to be the Factory Director to oversee the factory’s entire production operations.
In 2002, Mr Ma left together with Madam Li HuiJun to join Henan XingHe as General Manager, primarily responsible for overseeing the production, sales and marketing as well as general corporate affairs of the company.
In 2009, he was appointed as the Managing Director of Henan XingHe and has been involved in major decision making as well as formulation and execution of strategic policies of the company.
Mr Wang ZhiMin was appointed as an Executive Director of the Company on 24 April 2014. On 6 September 2016, he was re-designated as a Non-Independent Non-Executive Director and then as an Independent Director on 30 October 2018. He is currently a member of the Audit and Risk Management and Nomination Committees.
Mr Wang started his career after graduation as a credit analyst in the loan approval department of China Construction Bank (中国建设银行) and was subsequently promoted to manager in 1993.
In 2000, Mr Wang joined Puyang Changshin CPA Limited (濮阳昌信会计师事务所有限公司) as an Audit Manager until 2003. Thereafter, he spent a short stint in Guangdong Gaoyu CPA Limited (广东高域会计师事务所有限公司) as an Audit and Asset Valuation Manager before he joined Zhengzhou Huanghe DaGuan Co., Ltd. (郑州黄河大观有限公司) (“DaGuan”) in late 2003 as its Financial Controller until 2010. Mr Wang was responsible for the company’s accounting and financial matters as well as its investments in various other businesses. During his employment with DaGuan, Mr Wang was also the Chief Financial Officer of Henan Hanhai Investment Co., Ltd. (河南翰海投资有限公司) (“HanHai”) from 2005 to 2007. DaGuan and HanHai belong to the same ultimate controlling shareholder.
In 2010, Mr Wang joined Guangzhou CITIC Xintong Logistics Co., Ltd. (广州中信信通物流有 限公司) as General Manager of Finance and Corporate Affairs, managing the company’s financial matters and corporate affairs until March 2012 when he joined Henan XingHe as the Assistant to the Managing Director. Mr Wang was responsible for the supervision of Henan XingHe’s corporate affairs, strategic planning, financial management and capital management. On 31 July 2016, he resigned from Henan XingHe and was re-designated as a Non-Independent Non-Executive Director of the Company on 6 September 2016. In 2017, he joined Henan Neihuang Yilong Textile Co., Ltd. (河南省内黄意隆纺织有限責任公司) as its Deputy General Manager.
Mr Chung Wai Choong was appointed as an Independent Director of the Company on 22 May 2013. On 28 December 2018, he was appointed as Senior Independent Director. He is currently the Chairman of the Audit and Risk Management Committee and a member of the Nomination and Remuneration Committees.
Mr Chung, a member of the Malaysian Institute of Certified Public Accountants (“MICPA”) since 1986 and a member of the Malaysian Institute of Accountants since 1987, articled with Hanafiah Raslan & Mohamad (then also practicing as Touche Ross & Co.) in 1980 and then joined Coopers & Lybrand, Singapore in 1987. In 1988, he returned to Malaysia to join Mustapha Law/Touche Ross & Co. Upon the merger of Mustapha Law/Touche Ross & Co. and Kassim Chan & Co./Deloitte Haskins & Sells in 1992, he was transferred to the merged firm’s management consultancy arm as a Senior Manager. He commenced public practice in 1993 when he joined Sekhar & Tan as a Principal. He retired from public practice in 2003 as a Partner and in January 2004, he joined Leweko Resources Berhad (“Leweko”), now listed on the Main Market of Bursa Securities Malaysia Berhad (“Bursa Securities”), as its General Manager (Corporate Finance) and was made its Executive Director (Corporate Affairs) in February 2004. He was a member of the Board of Directors of Leweko from 9 February 2004 to 30 October 2010. In November 2010, he joined Hexagon Holdings Berhad, a company then listed on the Main Market of Bursa Securities, as its Group Head of Corporate Affairs and he resigned from that position on 31 May 2012. He has extensive experience in auditing and has also worked on special assignments involving corporate finance, corporate recovery, project management, systems review, corporate restructuring, mergers and acquisitions, and feasibility studies for multi-national and large national enterprises.
In addition, Mr Chung was the Joint Company Secretary of Lingui Developments Berhad, and Glenealy Plantations (Malaya) Berhad (both of which have since been privatised and delisted from the Main Market of Bursa Securities) and Teck Guan Perdana Berhad (also listed on the Main Market of Bursa Securities) at various times from 1996 to early 2003 and Leweko during his tenure there. He has also previously served as a member of the MICPA’s Auditing and Accounting Standards Committee.
Madam Chan Oi Chong was appointed as an Independent Director of the Company on 1 October 2018. She is currently the member of the Audit and Risk Management, Nomination and Remuneration Committees.
Madam Chan is currently the Company Secretary of China U-Ton Holdings Limited, a company listed on the Main Board of The Stock Exchange of Hong Kong Limited and an Independent Director of Cool Link (Holdings) Limited, a company listed on the Growth Enterprise Market of The Stock Exchange of Hong Kong Limited.
Madam Chan graduated from the Hong Kong University of Science of Technology in November 1998 with a Bachelor of Business Administration degree in Accounting. She is also a member of the Hong Kong Institute of Certified Public Accountants and a fellow member of the Association of Chartered Certified Accountants.
She started her career in Deloitte Touche Tohmatsu in April 2000 as an audit associate. In September 2007, she joined Pine Agritech Limited (now privatised and delisted from the Main Board of the Singapore Exchange Securities Trading Limited) as Financial Controller cum Joint Company Secretary. She left the employment of Pine Agritech Limited in March 2010.
